1. Welcome

These Terms and Conditions of Service ("Terms") govern your access to and use of the Vantee website, apps, products, AI companion features, challenge tools, community features, and related services (collectively, the "Service") operated by Vantee AI LLC ("Vantee," "we," "us," or "our").

By accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

2. Eligibility and Accounts

You may use the Service only if you can form a binding contract under applicable law and comply with these Terms.

If you are a parent, guardian, teacher, coach, or other authorized supervisor, you may create and manage accounts for children or supervised users in accordance with these Terms.

2.1 Children and supervised users

Children under 13 may not create independent Vantee accounts. A parent or other authorized supervisor must create and manage any account for a child under 13.

Children under 13:

  • may access only age-appropriate challenge templates and supervised challenge experiences;
  • may access social features such as friend requests only with parent/supervisor approval; may not access community content areas (such as community templates);
  • may not receive third-party advertising through the Service;
  • may only launch or join promoted or new challenges with parent/supervisor approval where required by the product settings.

Parents/supervisors are responsible for monitoring the child's use of the Service and reviewing AI outputs, challenge activity, and interactions.

2.2 Account information

You agree to provide accurate information and keep it updated. You are responsible for safeguarding your account credentials and for all activity under your account.

3. The Service

Vantee is a challenge-based platform that helps users create, join, manage, and complete personalized challenges for themselves or others, including family members, friends, colleagues, teammates, and customers. Vantee also includes AI-powered features that may guide challenge creation, provide suggestions, generate reports, and offer feedback on challenge progress.

4. AI Companion and AI Features

Vantee may use AI companions, AI agents, and automation features to support challenge planning, suggestions, summaries, progress feedback, and other workflows.

4.1 No guarantee of accuracy

AI outputs may be inaccurate, incomplete, biased, outdated, or inappropriate in some cases. You are solely responsible for evaluating and using any AI-generated output.

4.2 No professional advice

The Service and any AI outputs are for general informational and productivity-support purposes only. They are not medical, mental health, therapy, legal, tax, financial, educational-placement, or child-development professional advice. You should use human judgment and consult qualified professionals where appropriate.

4.3 Children and AI

For children, AI-generated feedback may be tailored by school grade or age band, but Vantee does not guarantee that AI outputs will always be appropriate. Parents/supervisors are responsible for monitoring child-facing AI interactions.

5. Parent/Supervisor Controls

If a user is supervised, Vantee may allow the supervisor to:

  • approve or reject new challenges;
  • review the supervised user's activity and progress;
  • review AI-generated content presented to the supervised user;
  • set limits on available features;
  • manage communications, permissions, and privacy controls.

By creating or supervising a child/supervised account, you represent that you are authorized to do so.

6. User Content and Challenge Content

You may create, upload, submit, or share challenge templates, challenge instructions, comments, text, media, and related content ("User Content").

You retain ownership of your User Content, but you grant Vantee a worldwide, non-exclusive, royalty-free license to host, store, reproduce, display, adapt, modify for formatting or safety, distribute, and use your User Content as needed to operate, improve, promote, and secure the Service. This includes displaying challenges to intended recipients and enabling AI features to process them to provide the Service.

You are solely responsible for your User Content and for any challenge, suggestion, instruction, or task you create for yourself or others.

You represent that your User Content:

  • does not violate any law or third-party rights;
  • is not defamatory, abusive, harassing, threatening, discriminatory, sexually exploitative, or harmful;
  • does not include unlawful, unsafe, or age-inappropriate content;
  • does not infringe copyrights, trademarks, privacy, or publicity rights.

7. Acceptable Use

You may not use the Service to:

  • harm, exploit, harass, or endanger children or other users;
  • create or distribute illegal, dangerous, hateful, sexually explicit, or deceptive content;
  • impersonate others or misrepresent authority;
  • collect personal information from children without proper authorization;
  • scrape, reverse engineer, or interfere with the Service;
  • use bots or abuse promotions, invite systems, AI credits, or reward systems;
  • publish spam, copied templates, or misleading challenge content;
  • exploit or misuse community features.

We may remove content, suspend access, or terminate accounts for violations.

8. Community Features

Vantee may offer community or social features. Community participation is subject to additional rules or guidelines that we may publish. Children under 13 are not permitted to access community content areas. Social features such as friend connections require parent/supervisor approval.

We may moderate, review, remove, restrict, or report content or accounts as needed for safety, compliance, or platform integrity.

9. Paid Services, Subscriptions, Credits, and Rewards

Vantee may offer free plans, paid plans, subscriptions, AI credits, top-ups, template purchases, and rewards systems.

You agree to any pricing, billing, renewal, cancellation, expiration, or rollover terms presented at the point of purchase. Unless required by law, fees are non-refundable once charged, except as stated in our refund policy or required by app-store rules or applicable law.

10. Creator / Marketplace Terms

If Vantee allows users to publish templates, mini-apps, or creator content for others to use, additional creator terms may apply, including revenue share terms, quality standards, moderation standards, and payout requirements.

11. Privacy

Your use of the Service is also governed by our Privacy Policy.

12. Intellectual Property

The Service, including software, designs, branding, text, graphics, logos, interfaces, and AI system outputs generated by Vantee for the Service, is owned by or licensed to Vantee AI LLC and protected by intellectual property laws.

Except as expressly permitted, you may not copy, reproduce, distribute, reverse engineer, or exploit the Service or our content without permission.

13. Termination

We may suspend or terminate your access to the Service at any time if:

  • you violate these Terms;
  • your use creates legal, safety, or operational risk;
  • we are required to do so by law;
  • we discontinue the Service or any feature.

You may stop using the Service at any time and request account deletion as described in our Privacy Policy.

14. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, VANTEE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR ACCURATE.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VANTEE AI LLC AND ITS OFFICERS, EMPLOYEES, CONTRACTORS, AFFILIATES, AND LICENSORS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF DATA, PROFITS, GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATING TO THE SERVICE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO VANTEE IN THE 12 MONTHS BEFORE THE CLAIM AROSE, OR (B) USD $100.

16. Indemnification

You agree to indemnify and hold harmless Vantee AI LLC and its affiliates, officers, employees, and agents from any claims, liabilities, damages, losses, and expenses arising out of or related to:

  • your User Content;
  • your use of the Service;
  • your violation of these Terms;
  • your challenges, instructions, or suggestions created for others;
  • your violation of any law or third-party rights.

17. Governing Law and Disputes

These Terms are governed by the laws of the State of California, without regard to its conflict of laws principles. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Santa Clara County, California.

18. Changes to Terms

We may update these Terms from time to time. If we make material changes, we will provide notice as required by law. Continued use after the effective date means you accept the updated Terms.
